Terms of Service

The Short Version

You pay once, you own QuotaMeter forever. Use it on all your devices. We offer a 14-day refund if it doesn't work for you. Don't share your license key publicly or resell the software. We're not affiliated with the AI services we track — if they change, we'll do our best to keep up, but we can't guarantee anything.

1. Agreement to Terms

By purchasing, downloading, installing, or using QuotaMeter (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use the Software.

These Terms constitute a legal agreement between you and Workdeskpro Ltd, a company registered in England and Wales (Company Number 15082883), trading as EncodeMK and QuotaMeter ("we", "us", "our").

2. License Grant

What You Get

Subject to your compliance with these Terms, we grant you a perpetual, non-exclusive, non-transferable license to use the Software for your personal or business purposes.

Your license includes:

Chrome browser extension (works on Mac, Windows, Linux)
Other Chromium-based browsers (Edge, Brave, Arc, etc.)
macOS menu bar application
VS Code / Cursor extension (when released)
All future updates and improvements at no additional cost

Device Limits

Your license is for personal use on unlimited devices. This means you can install QuotaMeter on your work computer, home computer, laptop, and any other devices you personally use.

You may not share your license key with others. Each person who uses QuotaMeter needs their own license.

Team and Enterprise Use

For teams or companies, each team member who uses QuotaMeter should have their own license. If you're interested in volume licensing or team pricing, contact us at sales@quotameter.app.

3. Pricing and Payment

One-Time Purchase

QuotaMeter is sold as a one-time purchase. Prices vary by region:

United Kingdom: £4.99
United States: $5.99
European Union: €5.99
Other regions: $5.99 USD (or local equivalent)

All prices include applicable taxes (VAT, sales tax, etc.) which are calculated and collected by our payment processor, Paddle.

What's Included

Your one-time payment includes:

The complete QuotaMeter software bundle (all platforms)
Lifetime access — no subscriptions, no recurring fees
All future updates and new features
Email support

Payment Processing

Payments are processed by Paddle, who acts as our Merchant of Record. Paddle handles all payment processing, tax collection, and compliance. By making a purchase, you also agree to Paddle's Terms of Service.

4. Refund Policy

We offer a 14-day money-back guarantee. If you're not satisfied with QuotaMeter for any reason within 14 days of purchase, contact us at refunds@quotameter.app and we'll process a full refund — no questions asked.

After 14 days, refunds are at our discretion. We may offer refunds in exceptional circumstances (e.g., the software becomes incompatible with a major AI service update and we cannot fix it).

Refunds are processed by Paddle and typically appear within 5-10 business days, depending on your payment method and bank.

5. License Restrictions

You agree not to:

Share your license key publicly (e.g., posting it online, sharing in public forums, or giving it to people outside your household)
Sell, rent, lease, or sublicense the Software or your license key
Reverse engineer, decompile, or disassemble the Software, except where permitted by law
Remove or alter any proprietary notices, labels, or marks on the Software
Use the Software to violate the terms of service of any AI provider (Cursor, OpenAI, Anthropic, etc.)
Use the Software for illegal purposes or in any way that violates applicable laws

Violation of these restrictions may result in termination of your license (see Section 10).

6. Third-Party AI Services

Independence

QuotaMeter is an independent, third-party tool. We are not affiliated with, endorsed by, or partnered with any of the AI services we track, including:

Cursor (Anysphere, Inc.)
Claude (Anthropic PBC)
ChatGPT/Codex (OpenAI, Inc.)
OpenAI API (OpenAI, Inc.)
Anthropic API (Anthropic PBC)

All product names, logos, and brands are property of their respective owners.

Your Responsibilities

Your use of AI services is governed by their respective terms of service. You are responsible for:

Complying with each AI service's terms of use
Maintaining valid accounts with services you want to track
Keeping your API keys secure (QuotaMeter stores them encrypted, but you should follow best practices)

Service Changes

AI services may change their interfaces, APIs, or policies at any time. If an AI service makes changes that affect QuotaMeter's ability to read usage data, we will:

Make reasonable efforts to update QuotaMeter to restore functionality
Communicate known issues via our website or email

However, we cannot guarantee that QuotaMeter will always work with every AI service. If a service blocks third-party access or fundamentally changes how they report usage, we may not be able to continue supporting that service.

7. Disclaimer of Warranties

QuotaMeter is provided "as is" and "as available" without warranty of any kind, either express or implied.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Accuracy of data — usage information is read from AI services; we display what they report but cannot guarantee its accuracy
Uninterrupted operation — the Software may have bugs, may be affected by browser updates, or may be impacted by AI service changes
Compatibility — we cannot guarantee the Software will work with all browsers, operating systems, or AI service configurations

8. Limitation of Liability

To the maximum extent permitted by applicable law:

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
Our total liability for any claims arising from your use of the Software shall not exceed the amount you paid for the Software (i.e., the purchase price)
We are not liable for any damages arising from your use of AI services, including but not limited to overage charges, account suspensions, or service interruptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Important: QuotaMeter is a monitoring tool, not a guarantee against hitting usage limits. You are responsible for managing your AI service usage, and you should not rely solely on QuotaMeter for critical usage decisions.

9. Updates and Changes

Software Updates

We may release updates to QuotaMeter from time to time. Updates may:

Add new features or services
Fix bugs or security vulnerabilities
Improve performance or user experience
Adapt to changes in AI service interfaces
Add or remove supported AI services

Updates are included in your license at no additional cost. We recommend keeping QuotaMeter updated for the best experience.

You can view a complete changelog of all updates within the QuotaMeter preferences/settings screen in both the browser extension and macOS app. This changelog includes version numbers, release dates, and descriptions of what changed in each update.

Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by:

Updating the "Last updated" date at the top of this page
Posting a notice on our website
For significant changes, sending an email to purchasers

Your continued use of QuotaMeter after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you should stop using the Software (but you remain bound by the Terms in effect at the time of your purchase for any disputes arising from your use prior to the change).

10. Termination

By You

You may stop using QuotaMeter at any time by uninstalling the Software from your devices. You are not entitled to a refund after the 14-day refund period simply because you choose to stop using the Software.

By Us

We may terminate your license if you materially breach these Terms, including but not limited to:

Sharing your license key publicly or commercially
Attempting to reverse engineer or redistribute the Software
Using the Software for illegal purposes

Before termination, we will make reasonable efforts to contact you and give you an opportunity to cure the breach (unless the breach is so severe that immediate termination is warranted).

Effect of Termination

Upon termination, your license to use the Software ends. You must uninstall and stop using QuotaMeter. Termination does not affect any rights or obligations that arose before termination.

11. Privacy

Your use of QuotaMeter is also governed by our Privacy Policy, which describes how we handle your data (short version: we don't collect it — everything stays on your device).

12. Support

We provide email support for QuotaMeter. You can reach us at support@quotameter.app.

We aim to respond to support requests within 2 business days, though response times may vary. Support is provided in English only.

Support includes help with:

Installation and setup
License key issues
Bug reports
Feature questions

Support does not include:

Help with AI services themselves (contact the AI provider directly)
Custom development or integrations
Support for modified or reverse-engineered versions of the Software

13. Intellectual Property

QuotaMeter, including its code, design, documentation, and branding, is owned by Workdeskpro Ltd and is protected by copyright and other intellectual property laws.

Your purchase grants you a license to use the Software, not ownership of the Software itself. All rights not expressly granted in these Terms are reserved.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of QuotaMeter shall be resolved in the courts of England and Wales, except that:

If you are a consumer resident in the EU, you may also bring proceedings in the courts of your country of residence
Nothing in these Terms affects your statutory rights as a consumer under the laws of your country of residence

Before initiating any legal proceedings, you agree to contact us at legal@quotameter.app to attempt to resolve the dispute informally.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding QuotaMeter and supersede all prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision in the future.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without your consent (e.g., in the event of a business sale or restructuring).
